• Digital Printing: High-resolution decorative printing on wood, glass, and acrylic substrates with UV-LED curing.
• Protective Packaging: Automated inline film lamination for surface protection during handling, transportation, and installation.

• Loss of data, corruption of data, or cost of procurement of substitute services.

The limitations in this section apply even if the Giardina Parties have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Giardina Finishing India Pvt. Ltd., the Giardina Group, and their respective directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Neither party shall be liable for any failure or delay in performing obligations under these Terms (or any related service agreement) where such failure or delay results from circumstances beyond the reasonable control of that party ("Force Majeure Event"). Force Majeure Events include, but are not limited to:

• Natural disasters (earthquakes, floods, cyclones, droughts, or other acts of God).
• Epidemics, pandemics, or public health emergencies.
• War, armed conflict, terrorism, civil unrest, riots, or insurrection.
• Government actions, sanctions, embargoes, import/export restrictions, or changes in applicable law or regulation.
• Labour disputes, strikes, or industrial action (other than those involving the affected party's own workforce).
• Prolonged failure of telecommunications, internet services, power supply, or hosting infrastructure.
• Fire, explosion, or equipment failure not caused by negligence.
• Supply chain disruptions, raw material shortages, or transportation breakdowns beyond reasonable control.

The affected party shall promptly notify the other party in writing of the Force Majeure Event and its expected duration, and shall use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes, controversies, or claims arising from or in connection with these Terms, the Site, or your use of the Site shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka, India.

Dispute Resolution Process:

• Negotiation: Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute amicably through good-faith negotiation for a period of 30 days from the date the dispute is first notified in writing.
• Mediation: If the dispute remains unresolved after the negotiation period, either party may refer the dispute to mediation administered by a mutually agreed mediator in Bangalore, Karnataka. The cost of mediation shall be shared equally between the parties.
• Litigation: If mediation fails or is declined by either party, the dispute shall be submitted to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Notwithstanding the foregoing, either party may seek interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm, without the obligation to first engage in negotiation or mediation.

15. Modifications to Terms

We reserve the right to amend, update, or replace these Terms at any time at our sole discretion. When we make changes:

A waiver of any right on one occasion shall not be construed as a waiver of any right on any subsequent occasion.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Giardina Finishing India Pvt. Ltd. with respect to your use of the Site, and supersede all prior or contemporaneous oral or written communications, proposals, understandings, and agreements relating to the Site.

For the avoidance of doubt, these Terms govern your use of the website only.
